Freelance Overview & Contract

This agreement has been created to describe what is involved in
being a non-paid freelance writer for the BlackWebPortal.com. The
reasons that we are a non-paying media unit are that we are
- prefunded, in that we have no budget to pay you
- understaffed, in that we have no one to proofread your
submissions, and
- that we have a steady flow of viewers that would
be happy to read your content.
Thus the primary goal of our freelance program is to
- expose your content to our audience, thus enhancing
your reputation, and
- provide our audience with a greater variety of views,
and thus increasing our traffic.
BlackWebPortal.com Freelance Agreement
1. RIGHTS OF THE CLIENT AND PROVIDER
This agreement is work-for-free. The Client that provides
the content is the owner of the content. The Client agrees
to give the BlackWebPortal.com (the Provider) the right to
eternally display the content on the single homed domain as
long as it exists.
2. CLIENT SCOPE
By way of this agreement the Client will deliver work to the
Company on a periodic basis as agreed to by the parties.
Typical submission cycles are bi-weekly. However, many firms
submit multiple entries per week.
3. NO RESELLING OF CONTENT
The BlackWebPortal.com will not sell a Clients content
4. ACCESS TO PREVIOUS CONTENT
The BlackWebPortal.com has the eternal right to the content
on its site and has the right to 'LOCK' content after a 3-day
time period.
The content provider MAY REQUEST access to remove content that
has been PROVEN to be infringing on the rights of authors,
organizations, institutions, copyright holders, or others, as a
result of plagiarism, libel, slander, or any other misuse of any
material in the work.
ADDENDUM: Most likely if you submit work to the BlackWebPortal
the assumption is that the content is original and belongs to
the provider of the content. Thus, it is up to the PUBLISHER
to inform YOU, the content provider of such findings.
5. COMPENSATION
There is no compensation paid to any party. Participation in
this program is 100% voluntary.
6. ASSIGNMENT
The Client understands that the Agreement signed locks the
Client to their particular area of editorial expertise.
7. CANCELLATION OF SERVICES
The agreement between the Client and BlackWebPortal.com (BWP)
and the BWP and the Client can be terminated at anytime, without
notice. However, the BWP will always inform its freelancers of
any changes to the system.
8. INDEMNIFICATION BY CLIENT
The Client shall be responsible for infringing upon the rights of
authors, organizations, institutions, copyright holders, or others,
as a result of plagiarism, libel, slander, or any other misuse of
any material in the Work. While the BWP may bring such infringements
to the attention of the Client, the Client shall indemnify the BWP
for any and all claims, damages, costs, and expenses, including
attorneys' fees, incurred by BWP as a result of said infringements.
9. LIMITATION OF LIABILITY
The sole and entire maximum liability of the BWP and any of the
providers of services performed on the Work, and the Client's sole
and exclusive remedy for any cause whatsoever, shall be limited to
the amount paid by the Client for services on the Work.
10. GOVERNING LAW AND LOCATION OF DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with
the laws of the UNITED STATES OF AMERICA in the state of FLORIDA.
The parties hereto shall make a reasonable attempt to settle any
dispute, which may arise concerning this Agreement, by friendly
discussions. If such dispute cannot be settled by such means, the
parties agree to have any and all disputes resolved solely by binding
arbitration and shall be bound by any decision issued as a result thereof.
11. STATUTE OF LIMITATIONS
Any cause of action by the Client against the BWP and any providers
of services performed on the Work, must be instituted within two (2)
months after completion of services on the Work or be forever waived
and barred.
12. NOTICES AND AMENDMENTS
This Agreement shall not be amended or canceled except by written
instrument signed by both parties. Any notice or other communication
in connection with this Agreement shall be in writing and hereunder
deemed effective when delivered by mail, courier or facsimile
transmission to the BWP's and Client's address contained in this
Agreement.
13. NON-ADVERTISING SERVICE
The BWP will not accept Press Releases for events or concerns via
your account. In addition, the BWP shall not support inline advertising
in your posting unless exceptions were grandfathered prior to December
2003.
14. NAME AND ADDRESS REQUIREMENT
We require that a full contact name, full address, e-mail address,
picture or logo of company or person, optional web site, and brief
profile be supplied with your approved registration.
IN WITNESS WHEREOF, the BWP and Client have each caused this Agreement
to be duly executed by themselves, as of the date first above written.
